You agree and acknowledge that the services and any underlying technology or software used in connection Site contain proprietary information belonging to Okra Limited. You may only use Site for personal, non-commercial purposes only. Absolutely no intellectual property rights are afforded or transferred to you by your use of Site. Site at its sole discretion will determine whether you have engaged in prohibited conduct or have violated these Terms of Service. This determination will be final and unreviewable, and you waive any and all rights you may have to challenge any decision made. Site may, under applicable laws, take any and all necessary legal actions or implement technical changes to address any violation of the provisions contained herein and to enforce the Terms.

Indemnity & Limitation of Liability

You agree to indemnify, defend and hold harmless Okra Limited and each of their officers, directors, shareholders, employees, partners, sponsors, agents, attorneys, representatives, subsidiaries, affiliates, successors and assigns collectively “Affiliated Parties” from all liabilities, losses, damages, claims and expenses, including reasonable attorneys’ fees and costs, whether or not a lawsuit or other proceeding is filed, that in any way arises out of or relates to your breach or violation of this Agreement, your use of the Site, your use of Zocular Professional Webstores, any transactions or other activities you engage in with any third party service providers or affiliates, your infringement of third party intellectual properties, your willful misconduct or negligence. If you fail to promptly indemnify and defend such claims, Okra Limited shall have the right to defend itself and you shall be responsible for reimbursing Okra Limited, including all its reasonable attorney fees, settlements, and awards related to settling or defending against such claims within 30 days of Okra Limited written request for indemnification.

To the maximum extent permitted by law, you agree to hold Okra Limited and its associated affiliates not liable for any direct, indirect, incidental, punitive, consequential, or exemplary damages, including, without limitation, loss of business, revenue, profits, goodwill, use, data, electronically transmitted orders, or other economic claims arising out of or in connection with the Site or any products or services, even if Okra Limited or any of its affiliates have previously been advised of, or reasonably could have foreseen the possibility of such damages, however they arise, whether in breach of contract or in tort, including and without limitation damages due to a) use or the inability to use the site or its services b) the cost of obtaining substitute goods or services c) discontinuation of products or services d) loss of data e) inability to obtain or received data, messages, or information to and from Site f) fraudulent transactions g) malicious or criminal behavior.
